Third Party / Service Provider Agreement

Last updated: 22 August 2026

1. Purpose

This agreement governs the relationship between Rituar Business Solution ("Plik") and an independent service provider or third-party partner ("Provider") offering services through the Platform.

2. Independent status

The Provider is an independent business/professional and is responsible for its own registrations, licences, taxes, personnel, tools, equipment, insurance and statutory compliance unless expressly agreed otherwise. Nothing in this agreement creates employment, partnership or joint venture.

3. Provider obligations

4. Customer relationship

Where the booking identifies the Provider as the service supplier, the Provider is responsible for the actual delivery of the service. Plik may facilitate payment, communication, quality processes, refunds or complaint handling but does not thereby assume responsibility for every act or omission of the Provider.

5. Platform fee and payouts

Plik charges a platform fee, deducted from the amount collected from the customer before payout to the Provider. The applicable percentage may vary by service category, Provider tier, location or other criteria Plik determines from time to time, and will be disclosed to the Provider before it applies. Payouts are made on the schedule and to the bank account communicated by the Provider through the Platform; the Provider is responsible for keeping payout details accurate and up to date. Plik may withhold or offset a payout where reasonably necessary to investigate a disputed, fraudulent or erroneous transaction, pending resolution.

6. Platform controls

Plik may suspend listings, bookings or Provider accounts where reasonably necessary for safety, fraud prevention, quality concerns, non-compliance, customer protection or legal requirements.

7. Customer data

The Provider may receive only the information reasonably required for an accepted booking and must maintain appropriate confidentiality and security. Provider access ends when the information is no longer required, subject to lawful recordkeeping.

8. Complaints and remediation

Plik may investigate customer complaints and may request corrective action, re-performance, refund or other remediation where appropriate. Any goodwill credit or refund issued by Plik does not automatically constitute an admission of legal liability.

9. Limitation of Plik's liability to the Provider

To the maximum extent permitted by applicable law, Plik's liability to the Provider arising from the operation of the Platform — including disputes over a specific payout, commission calculation or account suspension — will be limited to the amount actually owed to the Provider for the specific transaction(s) giving rise to the claim. Plik will not be liable for indirect, incidental or consequential losses, including loss of anticipated bookings or earnings, except to the extent such limitation is not permitted by applicable law.

10. Indemnity

To the extent permitted by law, the Provider will indemnify Plik against third-party claims, penalties, losses and reasonable costs arising from the Provider's unlawful conduct, negligence, wilful misconduct, professional breach, data misuse or failure to comply with its obligations, except to the extent caused by Plik's own legally attributable fault.

11. Insurance and records

Plik may require evidence of licences, qualifications, insurance or other documents depending on service category and risk.
